CDW Corporation Prices Secondary Offering

VERNON HILLS, Ill. - March 25, 2004 - CDW Corporation (Nasdaq: CDWC), today announced that it has commenced its secondary offering at a price of $65.05 per share. The total number of shares to be sold in this offering is 4,120,000. The shares will be sold by the following shareholders: 3,007,000 shares by Michael P. Krasny, the Company's founder and former chief executive officer and current director and chairman emeritus; 742,000 shares by Circle of Service Foundation; and 371,000 shares by Circle of Service Supporting Foundation. Mr. Krasny has also granted the underwriters a 30-day over-allotment option to purchase from him an additional total of up to 618,000 shares of common stock.

All shares in the offering are being sold by the selling shareholders and the total number of shares outstanding will not change as a result of the offering. CDW is not selling any shares and will not receive any of the proceeds from, nor incur any material expenses in connection with, the sales by the selling shareholders. After the offering, assuming the over-allotment option is not exercised, Mr. Krasny will beneficially own a total of 18,321,901 shares of the Company's common stock, or 21.8% of the total current outstanding common shares. At this level of ownership, Mr. Krasny will continue to be the Company's largest shareholder.
