CDW Acquires Shares Under Stock Repurchase Program
VERNON HILLS, Ill. - May 7, 2002 - CDW Computer Centers, Inc. (Nasdaq: CDWC) announced today that it has, in connection with its previously announced stock repurchase program, completed the purchase of a total of 384,376 shares of its common stock at a per share price of $49.50 from Daniel B. Kass, executive vice president and a director of the Company. Under its buyback program announced in January 2001, the Company has purchased a total of 3.2 million shares (including the shares in this transaction) out of an authorized amount of 5 million shares.
Pursuant to a registration rights agreement between the Company and Mr. Kass, Mr. Kass has the right to require one time in each of calendar years 2001, 2002 and 2003, that the Company register for public sale CDW common stock held by Mr. Kass or acquired by him pursuant to the exercise of options under the MPK Stock Option Plan. In connection with this repurchase, Mr. Kass agreed to waive this right with respect to 2002. After this transaction, Mr. Kass will continue to have options under the MPK Stock Option Plan to purchase 150,000 shares of CDW common stock owned by Michael P. Krasny, the Company's founder and former chairman and chief executive officer.
